Definitions and Scope** “Subscription” means the paid account status under which you receive the features and allowances of your chosen plan for the period stated in your order. “Billing period” means the unit you pay by — monthly or annually — starting and ending at the times shown in the order snapshot and order details. “Allowance” means the unit we use to measure your scale of use: tracked prompts, tracked domains, engine coverage, scored pages, API calls and similar, as stated on the plan page and order. Allowances have no cash value and cannot be transferred, resold, withdrawn or redeemed for cash. These terms are a special agreement forming part of the Terms of Service. Together with the Terms of Service and the Privacy Policy they make up the complete agreement between you and us. On payment matters they override the Terms of Service; anything they do not cover falls back to those terms. By paying and completing an order on the purchase page, you are deemed to have read, understood and accepted all of these terms. If you disagree with any part, do not buy a paid subscription. ## **2. Plan Description** Current plans include Starter, Growth, Scale and Enterprise. Names, prices, benefits, allowances and eligibility follow the live purchase page and your order snapshot. Enterprise plans usually sit under a separately negotiated contract, and any written agreement we both sign takes precedence. Subscription benefits include, without limitation (as your order snapshot records): how many prompts you can track, how many domains you can monitor, which AI engines are covered, how many pages you can score each period, reporting cadence and alert channels, API and integration access, and how many workspaces and seats you get. Benefits differ by plan and follow what the order snapshot records; benefits not recorded there are not part of the plan you bought. Allowances are calculated per billing period and do not carry over. When an allowance runs out the related feature pauses until the next period starts or you upgrade. We may change benefit structures, allowance configurations and prices as the product evolves, but not in a way that reduces the core benefits of a period you have already paid for. If an adjustment materially cuts the core benefits of a period you bought, you may apply for a pro-rata refund. ## **3. Purchase, Activation and Renewal** Choose a plan and billing period on the purchase page and pay. Once payment succeeds, entitlements are activated according to our system records; what a page displays is not evidence that an entitlement is active. Subscriptions renew automatically by default at the end of each period at the then-current price, until you switch off auto-renew or cancel in your account settings. Before each renewal charge we tell you by email or in-product notice how much will be charged and when. Renewal charges are timed against the successful payment recorded in our system. You can turn auto-renew off at any time; doing so does not refund the current period, and you keep using it until it ends. After a subscription expires without renewal: (1) your account moves to free entitlements; (2) your workspaces, tracking configuration, historical tracking data and generated reports stay put — expiry, downgrade and refunds never delete them; (3) allowances beyond the free entitlement stop; (4) restricted entry points show what the free tier allows. You can upgrade mid-cycle; upgrades usually take effect immediately once you pay the prorated difference. Downgrades generally apply from the start of the next period. The purchase page shows how any proration is calculated. ## **4. Free Trial** We may offer a free trial from time to time. Whether it requires a payment method up front, how long it runs and what it includes is stated in the offer itself; where the offer does not state that a payment method is required, we will not charge you. Trials are offered at our discretion and may be withdrawn or changed. When a trial ends without purchase your account drops to free entitlements and nothing is charged automatically. Allowance and fair-use rules from the Terms of Service and these terms apply during a trial too. ## **5. Fees and Payment** Fees follow the live prices on the purchase page and are denominated in Renminbi. A price shown per month and billed annually is charged once as an annual total; the effective monthly rate is the one the page shows. We may adjust prices; changes never apply retroactively to purchases already made, and if you auto-renew we tell you the new amount before it takes effect. Supported payment methods currently include WeChat Pay and Alipay. Use an account you lawfully own with sufficient balance. If a charge fails for insufficient funds, spending limits or any other reason, renewal does not take effect; we may retry a few times and ask you to update the payment method. Payments here may not appear instantly in your bank or payment provider records. Subscription activation follows the successful payment time recorded in our system. We never store your payment password, card number or CVV in any form. All payments are processed by the payment providers in an encrypted environment. For proof of payment or transaction records, check your provider (WeChat Pay / Alipay) statement, or ask us for an order receipt using the contact details in these terms. ## **6. Refund Policy** Subscriptions are digital services delivered online. Refund eligibility follows applicable law, the purchase page and order state. Except where law requires otherwise or the purchase page expressly promises otherwise, fees already paid for a period are not refundable. Turning off auto-renew or cancelling does not refund the current period, but you keep using it until it ends. Used allowances and benefits already enjoyed are not restored. For abnormal transactions such as duplicate charges or incorrect amounts caused by system faults, submit a review request at any time using the contact details in these terms. Once verified we refund the excess promptly via the original payment route. A refund request usually goes through acceptance, processing and review; when the money arrives depends on the payment provider. This refund policy does not limit your statutory rights under the Law of the People’s Republic of China on the Protection of Consumer Rights and Interests or other applicable law. Where this policy conflicts with mandatory legal provisions, the law prevails. ## **7. Invoices** To request an invoice, email red@rainsss.com with: (1) the order number; (2) the invoice title (individual or company name); (3) the unified social credit code (required for company invoices); (4) the email address that should receive it. Once we verify the order we issue an electronic invoice (general VAT invoice, or another type we both agree on) and send it to the address you gave. Electronic invoices carry the same legal force as paper ones. Deadline: request within thirty (30) calendar days of successful payment; later requests may not be processed. The invoice item is “Information Technology Service Fee” or another compliant item stated on the purchase page. ## **8. Suspension and Termination of Subscriptions** We may adjust plan tiers, benefit content, allowance configurations and prices as the business develops, giving reasonable advance notice by in-product announcement or email. Orders already placed keep the snapshot they were bought under. You may stop using a paid subscription at any time, but choosing not to use it is not grounds for a refund. If a subscription is terminated because you breached the Terms of Service or these terms, we will stop the benefits and revoke unused allowances for that period. Your existing content and historical data are unaffected, and refunds follow the rules above. If we shut the Service down for reasons of our own, we notify you in advance and refund the share of fees matching your remaining subscription period out of the full period (fractions of one billing unit count as a full unit), or settle it another reasonable way. ## **9. Dispute Handling** Disputes arising from or connected with these terms are first resolved through friendly consultation. These terms are governed by the laws of the People’s Republic of China, excluding conflict-of-law rules. ## **10.
